Valero’s executive pay program is designed to reward executives for superior company performance. The program
design emphasizes variable incentive pay (delivered through annual and long-term incentives) such that an
executive’s pay ultimately realized is signi昀椀cantly dependent upon the achievement of both absolute and relative
performance measures.
